Udyam registration is one of the most underutilised registrations available to small and medium businesses in India. It's free, it takes under 10 minutes to complete on the portal, and it provides access to a set of benefits that can meaningfully reduce your borrowing costs, protect you from delayed payments by large buyers, and qualify your business for government tenders and subsidies. Yet a large number of eligible businesses — sole proprietorships, small companies, trading firms — still haven't registered.
This guide explains who qualifies, how registration works, and what specific benefits you can actually use once you have a Udyam Registration Certificate. If you'd like our team to handle the registration, our registrations service completes it for you alongside other compliance work.
The MSME classification — who qualifies
The Udyam classification uses a composite criterion of investment in plant and machinery/equipment AND annual turnover. The thresholds were raised with effect from 1 April 2025 (Notification S.O. 1364(E)):
| Category | Investment | Turnover |
|---|---|---|
| Micro | ≤ ₹2.5 crore | ≤ ₹10 crore |
| Small | ≤ ₹25 crore | ≤ ₹100 crore |
| Medium | ≤ ₹125 crore | ≤ ₹500 crore |
Both conditions must be satisfied. If your turnover exceeds ₹10 crore but your investment is below ₹2.5 crore, you are a small enterprise — not micro. This is a common source of confusion.
All types of businesses are eligible: proprietorships, partnership firms, LLPs, private limited companies, cooperatives, trusts, and associations. Service businesses are equally eligible alongside manufacturing.
How to register on the Udyam portal
- Step 1: Go to udyamregistration.gov.in. The portal is entirely Aadhaar-linked — the proprietor's or authorised signatory's Aadhaar is used for verification.
- Step 2: Enter Aadhaar number and validate with OTP sent to the linked mobile.
- Step 3: PAN details are auto-fetched from the income tax database. The portal pulls your business turnover from ITR data (for businesses that have filed).
- Step 4: Fill in business details: name, type, date of commencement, bank account details, major activity (manufacturing or services), and the NIC code for your business activity.
- Step 5: Submit. The Udyam Registration Certificate (URC) with a unique Udyam Registration Number is generated immediately and can be downloaded.
There is no fee and no document upload. The certificate is valid indefinitely as long as your business remains within the MSME classification limits.
The benefits — what Udyam registration actually unlocks
Priority sector lending and lower interest rates
Banks are required to lend a specified percentage of their credit to MSMEs (priority sector lending mandates). Registered MSMEs get access to collateral-free loans up to ₹10 lakh under CGTSME, and many banks offer 0.5–1.5% lower interest rates on business loans to Udyam-registered entities.
Protection under MSMED Act — the payment protection clause
This is perhaps the most valuable benefit for B2B businesses. Under the MSMED Act, buyers must pay registered MSMEs within 45 days of delivery. If they don't, they owe compound interest at 3× the RBI bank rate on the overdue amount — and large companies are required to disclose delayed payments to MSMEs in their annual report. This gives you real legal leverage against slow-paying large corporate clients.
Government tender preferences
Many central and state government tenders have MSME-reserved categories. Registered MSMEs also get exemption from Earnest Money Deposit (EMD) requirements in tenders and preferences on price quoted (up to a specified percentage above the L1 bidder).
Subsidies and schemes
Several central schemes are available only to Udyam-registered businesses: technology upgradation subsidies, credit guarantee schemes, quality certification reimbursement, and various state-level incentives that vary by state.
Frequently asked questions
Does Udyam registration expire?
The certificate doesn't expire, but your classification may change. If your turnover or investment grows beyond your category's limits, you're required to update your Udyam registration. The portal prompts annual self-declaration of updated turnover and investment figures.
Can I register if I don't have a PAN or GST number?
From April 2021, PAN and GSTIN are mandatory for Udyam registration (for businesses that are otherwise required to have them). Proprietors below GST turnover threshold who don't have GST can still register using PAN alone.
Is there a separate process for migrating from Udyog Aadhaar?
Yes. Businesses that previously registered under the old Udyog Aadhaar system should migrate to Udyam by re-registering on the Udyam portal. Old Udyog Aadhaar certificates are no longer accepted for government schemes and bank benefits.
